ArchiStruct - General Terms and Conditions
1. Agreement to Terms
Welcome to www.archistruct.ae (the "Website"). These General Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you") and ELITE ARCHI STRUCT ENGINEERING CONSULTANTS L.L.C ("ArchiStruct," "we," "us"), a company registered in Dubai, UAE, under license number 1550469.
By accessing our Website or engaging our architectural and engineering consultancy services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms, in conjunction with any formal Quotation or Service Agreement issued to you, form the entire agreement between us.
2. Definitions
3.1. Scope Governance: The precise scope, deliverables, and timeline for any project shall be exclusively defined in the formal Quotation provided by ArchiStruct and accepted by the Client. Information on this Website is for informational purposes only and does not constitute a formal offer or engineering advice unless explicitly contracted.
3.2. Disclaimer of Approval Authority: ArchiStruct acts as a professional consultant to facilitate, prepare, and submit applications for permits and approvals. We do not grant approvals. The final decision to grant any permit, NOC, or other approval rests solely and exclusively with the relevant government authorities (e.g., Dubai Municipality, Trakhees, DDA), master developers, or other regulatory bodies.
4. Fees, Payment, and Financial Conditions
4.1. Quotations: All Quotations are valid for thirty (30) days from the date of issue if otherwise specified.
4.2. Commencement of Work: Work on any project or project stage shall commence only after ArchiStruct receives the advance payment as specified in the Quotation.
4.3. Suspension for Non-Payment: Any delay in payment by the Client will result in the immediate and automatic suspension of all Services, including design work and authority submissions. ArchiStruct shall not be liable for any project delays, penalties, or associated costs arising from such suspension.
4.4. Third-Party & Government Fees: Our professional fees are exclusive of any charges levied by government authorities, regulatory bodies, or master developers (e.g., application fees, permit fees, NOC charges, security deposits). These fees are the sole responsibility of the Client and will be billed at actual cost. The Client agrees to pay these fees promptly upon request to avoid project delays.
5. Client Obligations and Responsibilities
To ensure the timely and successful delivery of Services, the Client agrees to:
5.1. Provide all necessary documentation (e.g., title deed, affection plans), information, and decisions in a timely manner.
5.2. Ensure the accuracy and completeness of all information provided to ArchiStruct.
5.3. Bear sole responsibility for ensuring that any contractors or subcontractors they appoint for project execution are compliant with all applicable authority standards and hold the necessary certifications.
5.4. Bear responsibility for any government fines or penalties arising from the Client’s (or their appointed contractor's) inaction or non-compliance.
6. Timelines, Delays, and Extensions
6.1. Indicative Timelines: All project timelines provided in a Quotation are indicative estimates. They are strictly subject to factors beyond ArchiStruct's reasonable control.
6.2. Limitation of Liability for Delays: ArchiStruct guarantees the timely performance of its own scope of work but shall not be held liable for any delays, damages, or additional costs resulting from:
a) Delays in receiving necessary information, approvals, or payments from the Client.
b) The processing times, feedback cycles, or rejections from any government or regulatory authority.
c) The performance or non-performance of contractors or other third parties engaged directly by the Client.
6.3. Schedule Extension: Any such delays shall result in an automatic and equitable extension of the project schedule without penalty to ArchiStruct. Any additional work or supervision required due to such delays may be subject to additional fees.
7. Intellectual Property Rights
7.1. ArchiStruct shall retain full copyright and ownership of all original designs, drawings, plans, specifications, and other documents ("Intellectual Property") created in the course of providing the Services.
7.2. Upon full and final payment, ArchiStruct grants the Client a limited, non-exclusive license to use the Intellectual Property for the sole purpose of constructing and maintaining the specific project at the specific property address for which it was designed. This license does not permit use for any other project, property, or purpose without our express written consent.
8. Electronic Signatures and Records
8.1. In accordance with UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, the parties agree that contracts, quotations, and other legally binding documents may be executed by electronic means (e.g., via digital signature platforms or confirmed email acceptance).
8.2. An electronic signature or confirmed acceptance shall be considered as valid and as legally binding as a handwritten signature for all purposes under this agreement.
9. Limitation of Liability
9.1. ArchiStruct's total liability to the Client, whether in contract, tort (including negligence), or otherwise, shall not exceed the total professional fees paid by the Client to ArchiStruct for the specific stage of service from which the liability arose.
9.2. ArchiStruct shall not be liable for any indirect, consequential, or special losses, including loss of profit or business opportunity.
10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties irrevocably agree that the Courts of Dubai shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
